Mr. David H. Sidwell is no longer Independent Director of the Company effective as of September 30 2016. He served as Executive Vice President and Chief Financial Officer of Morgan Stanley from March 2004 to October 2007 when he retired. From 1984 to March 2004 Mr. Sidwell worked for JPMorgan Chase Co. in a variety of financial and operating positions most recently as Chief Financial Officer of JPMorgan Chases investment bank from January 2000 to March 2004. Prior to joining JP Morgan in 1984 Mr. Sidwell was with Price Waterhouse LLP a major public accounting firm from 1975 to 1984. Mr. Sidwell is currently a member of the Board of Directors and Senior Independent Director of UBS AG where he serves as Chair of the Risk Committee and a member of the Governance Nominating Committee. He is also a member of the Board of Directors of Ace Limited where he serves as a member of the Audit Committee. He previously was a member of the Board of Directors of MSCI Inc. from November 2007 through September 2008 where he served as Chair of the Audit Committee and a member of the Nominating and Corporationrationrate Governance Committee. Mr. Sidwell served as a Trustee of the International Accounting Standards Committee Foundation from January 2007 until his term ended in December 2012. Mr. Sidwell was a Fannie Mae director since December 2008. since 2008.

Federal National Mortgage Leadership Team
Elected by the shareholders, the Federal National's board of directors comprises two types of representatives: Federal National inside directors who are chosen from within the company, and outside directors, selected externally and held independent of Federal. The board's role is to monitor Federal National's management team and ensure that shareholders' interests are well served. Federal National's inside directors are responsible for reviewing and approving budgets prepared by upper management to implement core corporate initiatives and projects.
