Mr. Gregory J. Kozicz is Independent Director of the Company. He was a director Isle of Capri from January 2010 to May 1, 2017, at which time he was appointed to our Board of Directors in accordance with the provisions of the merger agreement with Isle of Capri. Mr. Kozicz is president and chief executive officer of Alberici Corporationrationration, a St. Louisbased diversified construction, engineering and steel fabrication company, and Alberici Constructors Inc., a whollyowned subsidiary of Alberici Corporationrationration. He also served on the Eighth District Real Estate Industry Council of the Federal Reserve Bank of St. Louis from 20062016. He has served as president and chief executive officer of Alberici Corporation and Alberici Constructors since 2005 and June 2004, respectively. Prior to his current roles, Kozicz was president of Alberici Constructors Ltd. . Before joining Alberici in 2001, Kozicz served as a corporate officer and divisional president for Aecon, a publiclytraded construction, engineering and fabrication company. Mr. Kozicz was selected to serve as a director because he brings extensive experience in the areas of construction, corporate leadership and executive management. Mr. Kozicz has served in various leadership roles and brings important perspectives to the Board of Directors particularly in the area of both private and public companies. since 2017.

Pursuant to the terms of the Merger Agreement, the Company agreed to take all actions necessary to expand the Board from seven directors to nine directors and appoint two members of the board of directors of Isle of Capri mutually agreed upon by the Company and Isle of Capri to fill the newly created vacancies and to use its reasonable best efforts to cause each such person to be reelected to the Board at each of the two annual meetings of stockholders of the Company occurring after the closing of the Isle Merger. Pursuant to such agreement, Mr. Kozicz was appointed to the Board upon consummation of the Isle Merger and was proposed for election at the Annual Meeting.
